1) Agreement & Parties
These Terms & Conditions (“Terms”) govern access to and use of the Informational Defence platform and related services (collectively, the “Service”) operated by Stichting De Lokale, registered in Netherlands (“Provider”, “we”, “us”). By creating an account, purchasing a subscription, or using the Service, you agree to
- these Terms on behalf of yourself or the organization you represent (“Customer”, “you”).
- YouTube Terms of Service on behalf of yourself or the organization you represent (“Customer”, “you”).
2) Definitions
- Customer Data: content or information you or your users upload or configure (e.g., channel lists, topic taxonomies), and any outputs generated specifically from your configurations that are not part of our generic models.
- Platform Data: the Service’s models, algorithms, system prompts, heuristics, generic taxonomies, and aggregated or de-identified analytics produced by us.
- Public Source Data: publicly available YouTube video metadata, captions, comments, and similar content retrieved under YouTube’s API terms and applicable law.
- Seats: human users permitted to access the Service under your subscription.
3) Eligibility & Accounts
- You must be legally capable of forming a binding contract and not be subject to applicable sanctions.
- You are responsible for all actions under your account and for keeping credentials secure.
4) Plans, Fees, and Taxes
Pricing is published on our website or in an order form and may include volume allowances (e.g., channels, comments/month). Overage is billed at the then-current rate. Fees are exclusive of taxes; you’re responsible for applicable taxes, with tax-exempt documentation where relevant. Discounts for CSOs/non-profits may apply as published.
5) Permitted Use & Acceptable Use Policy
- Use the Service only for research, monitoring, and reporting purposes that comply with law and platform policies (including YouTube’s).
- Do not use the Service to harass, doxx, target, or unlawfully profile individuals; do not create dossiers on minors or sensitive attributes.
- Do not circumvent platform rate limits, rotate keys to evade quotas, or scrape in ways that breach third-party terms.
- No malware, spamming, automated account creation, or attempts to bypass authentication or security.
- Respect intellectual property and database rights of third parties.
6) Usage Limits
We may enforce technical limits (e.g., channels, comments/month, API calls). If your use risks service stability, we may rate-limit or temporarily suspend ingestion with notice where feasible.
7) Customer Data & Public Source Data
- You retain ownership of Customer Data. You grant us a worldwide, non-exclusive license to host, process, and display Customer Data solely to provide and improve the Service, fulfill support, and comply with law.
- Public Source Data remains the property of its respective rights holders and is subject to their terms (e.g., YouTube’s). You are responsible for selecting channels and ensuring your use is lawful.
- You warrant you have the rights to use Customer Data and that it does not infringe third-party rights or violate law.
8) Outputs & Platform IP
- We retain all rights to the Service, Platform Data, and underlying IP. Except for your Customer Data, you receive a limited, non-transferable license to use the Service and outputs internally for your research and reporting.
- Do not reverse engineer, reproduce substantial parts of our models or datasets, or use outputs to train competing systems without our written consent.
9) Third-Party Services
The Service relies on external platforms and APIs (e.g., YouTube). We do not control their content, availability, policies, or performance. Your use must comply with those third-party terms.
10) Confidentiality
Each party must protect the other’s non-public information with reasonable care and use it only for the purpose of these Terms. Exclusions apply for information already public, independently developed, or received lawfully from a third party.
11) Security
We implement administrative, technical, and physical safeguards appropriate to the risk, including access controls, encryption in transit, and routine vulnerability patching. No system is 100% secure; notify us promptly of suspected issues.
12) Privacy & Data Processing
Our processing of personal data is described in the Privacy Policy and (where applicable) a Data Processing Agreement (DPA). Where required by GDPR, we will enter into a DPA upon request.
13) Publicity
We may reference your organization name and logo as a customer, unless you opt out in writing.
14) Beta / Preview Features
Beta features are provided “as is” for evaluation and may change or be withdrawn.
15) Term, Suspension, and Termination
- Term continues for your subscription period. Either party may terminate for material breach if not cured within 30 days of notice.
- We may suspend access for non-payment, security risks, or AUP violations.
- Upon termination, we will retain Customer Data for up to 30 days for export upon request, unless legally required to retain longer or you request earlier deletion.
16) Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Analytics and model outputs may contain errors or biases; they are decision support, not definitive facts.
17) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
18) Indemnities
- By you: you will defend and indemnify us against claims arising from your Customer Data, your use of the Service in violation of law or third-party terms, or AUP breaches.
- By us: we will defend and indemnify you against third-party claims that the Service (as provided) infringes IP rights, excluding claims arising from your modifications, combinations, or misuse.
19) Governing Law & Venue
These Terms are governed by the laws of Netherlands, excluding conflict of laws rules. Courts located in Den Hague, Netherlands have exclusive jurisdiction.
20) Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance.
